A federal court has paused this requirement once again as of 12/27/24.
Small business owners need to know about the Corporate Transparency Act that has signed into law the Beneficial Ownership Information (BOI) Report. The law requires certain business entities to provide information about the true owners of the company. The new law's purpose is to give transparency about who owns a company. One of its requirements is for nearly all registered/formed businesses to fill out a form on a government website, FinCEN.gov. This law was temporarily blocked 12/3 but then reinstated on 12/23 and then paused again on 12/27.

2) Is this a one time report?
This is not an annual report but you will need to update the filing when ownership changes or any other information changes about your business entity.
3) Is there a fee to file?
There is no fee to file on the government website. Be careful about websites asking for payments.
4) Who is required to file?
Reporting companies are corporations, LLCs and similar business entities.

6) What information should you gather before you start filing this report?
Applicant or beneficial owner information: legal full name, date of birth, residential or business street address, and personal identification document with a unique identifying number, like a driver’s license or passport.
Company information: Legal company name, DBAs or trade names, business address, formation jurisdiction, and identification including Taxpayer Identification Number, Social Security Number, or Employer Identification Number (EIN).
